Terms of purchase.
The conditions under which Kodiac biolabs sells research compounds.
Research use only
Kodiac biolabs sells research compounds for in vitro and in vivo investigative purposes only. Products are not for human or veterinary consumption. Products are not intended to diagnose, treat, cure, or prevent any disease and are not approved by the United States Food and Drug Administration for any therapeutic use. By placing an order you confirm you are acquiring the products for research purposes only.
No FDA affiliation
Kodiac biolabs is not registered with, affiliated with, endorsed by, or operated under the supervision of the United States Food and Drug Administration. No statement on this site has been evaluated by the FDA. Products on this site are research reagents under the meaning of 21 CFR 312.2(b)(1), and the supplier-side conduct is not an Investigational New Drug application, an Abbreviated New Drug Application, a New Drug Application, or any other application for marketing authorization. Any reference to a compound by a name shared with an approved drug is reference to the chemical entity for research purposes only and is not a reference to, comparison with, or substitute for the approved drug product.
Researcher attestation
Before entering the site, every visitor is presented with a researcher attestation modal containing four binding affirmations: that the visitor is at least 21 years of age; that the visitor is acquiring compounds for in vitro or in vivo research purposes only; that the visitor will not ingest, inject, inhale, apply, or otherwise administer the compounds to any human or animal; and that the laws of the visitor's jurisdiction permit the purchase of research compounds. Acceptance of these affirmations is recorded with a unique attestation identifier, the attestation version, and a timestamp. The same attestation identifier is attached to every order placed in the same browser. Submission of an order constitutes a renewed warranty by the purchaser that each of these affirmations remains true at the time the order is placed. Misrepresentation of any affirmation voids the purchase and any associated documentation.
Age requirement
Purchasers must be at least 21 years of age. The researcher attestation modal, account creation, and the order acknowledgment at checkout each include this affirmation. Misrepresentation of age voids the purchase and any associated documentation.
Geographic scope
Orders ship to addresses within the 50 United States and to United States territories. Sales to other jurisdictions are not currently supported. Investigators in other jurisdictions should consult local law before attempting to procure research compounds. Certain states maintain additional restrictions on specific classes of research compound; the purchaser is solely responsible for verifying that their order is permissible in the destination state.
Investigator responsibility
Investigators are responsible for compliance with the laws of their state, with any institutional review requirements that apply to their work, and with any applicable rules governing the handling of research-grade chemical reagents. Kodiac biolabs sells under the research-use-only framework; the supplier-side compliance posture does not extend to the investigator's downstream use. The purchaser indemnifies Kodiac biolabs, its officers, employees, and contractors against any claim, loss, or expense arising out of the purchaser's downstream handling, use, transfer, or representation of the compounds, including any administration to a human or animal subject regardless of consent.
No resale, no relabeling, no human use
The purchaser warrants that the compounds will not be resold, redistributed, transferred for value, relabeled, repackaged, marketed as a drug or dietary supplement, or in any way represented to a downstream party as suitable for human or veterinary consumption. The purchaser further warrants that any onward transfer of the compounds within a research institution will be accompanied by the same research-use-only representations under which the compounds were originally supplied. Breach of this section voids all warranties and indemnities running in the purchaser's favor.
Documentation and verification
Each lot ships with vendor HPLC, mass spectrometry, and 1H NMR documentation. Independent Janoshik Analytical third-party verification is in progress; verified COAs will be appended to each lot's archive entry as samples complete testing. Vendor documentation is sufficient for in vitro and routine in vivo use; the additional Janoshik layer addresses adulterations the vendor lab might miss. Documentation describes chemical identity, purity, and conformance; it is not a representation of suitability for any particular research application.
Pricing and currency
All prices are in United States dollars. Prices are subject to change without notice; the price applied to your order is the price in effect at the time the order is placed. Promotional discounts that exceed 25 percent off list price waive return eligibility under the refund policy.
Payment
Payment methods accepted: card (processed through a high-risk payment provider that underwrites research-compound merchants), crypto (BTC, ETH, USDC, USDT on Ethereum, Polygon, Solana, Lightning), and Zelle. Order processing begins after payment confirmation. Failed or reversed payments at any stage may result in order cancellation; this is at our sole discretion.
Order processing pipeline
Each order moves through a documented pipeline: received, payment confirmed, QC review, lyophilization, cold-chain packed, shipped, delivered. Stage transitions are recorded with a timestamp and visible to the purchaser via the customer order page. The pipeline is the binding source of truth for fulfillment status; carrier-side scans are mirrored as references but do not supersede the pipeline record.
Cancellation
Orders may be cancelled at no cost prior to the lyophilization stage. After lyophilization, cancellation is at our discretion and may incur a restocking fee. See the refund policy for details.
Limitation of liability
Kodiac biolabs's liability on any order is limited to the price paid for the order. Investigators assume all risk associated with the research use of the compounds, including the risk of unanticipated chemical or biological behavior. Kodiac biolabs makes no representation or warranty regarding the suitability of any compound for any particular research application beyond the documented purity and identity of the supplied lot. In no event shall Kodiac biolabs be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, loss of profit, loss of business, or loss of data, even if advised of the possibility of such damages.
Indemnification
The purchaser shall indemnify, defend, and hold harmless Kodiac biolabs, its members, officers, employees, agents, and contractors from and against any and all claims, suits, demands, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) the purchaser's breach of any representation, warranty, or covenant under these terms; (b) the purchaser's use, handling, storage, transfer, or onward distribution of the compounds; (c) any administration of the compounds to a human or animal, regardless of consent or jurisdiction; (d) any representation by the purchaser to a downstream party regarding the suitability of the compounds for any particular use; and (e) any violation by the purchaser of applicable law.
Dispute resolution and class action waiver
Any dispute, claim, or controversy arising out of or relating to these terms or to any order shall be resolved by binding individual arbitration administered under the rules of a recognized arbitral institution selected by Kodiac biolabs, with the seat of arbitration in Wake County, North Carolina, and with proceedings conducted in the English language. The purchaser and Kodiac biolabs each waive any right to participate in a class action, collective action, mass action, or representative proceeding. Notwithstanding the foregoing, either party may seek interim injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information pending the outcome of arbitration.
Governing law
These terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Updates to these terms
These terms may be updated periodically. The date of last revision is published at the bottom of the compliance page. Continued use of the site or placement of new orders after a revision constitutes acceptance of the updated terms. Material revisions trigger a new attestation version that requires every visitor to re-accept the researcher attestation modal.
